Referral Program Terms

The Vendoors Referral Program (the “Program”) is operated by Winnovate Technologies (“Winnovate”, “we”, “us”) and rewards eligible Vendoors users who introduce a new company to Vendoors.

The Program is run by Vendoors. It is not affiliated with, sponsored by, or endorsed by any client company that a referrer works with through the Vendoors platform. Referring Vendoors has no effect on your relationship with any client company.

You may participate if you are a registered vendor user with an active Vendoors account and you accept these terms. We may suspend participation for accounts that are locked, closed or in breach of the Terms and Conditions.

You can refer a company in two ways from your Vendoors portal:

• Share your personal referral link by LinkedIn, WhatsApp, email or any channel you choose.
• Ask Vendoors to email an invitation on your behalf by entering the recipient's email address.

When you ask us to send an invitation, you confirm that you know the recipient and that it is reasonable to expect they would be interested. We send one invitation email on your behalf, identify you as the referrer, and include a link that lets the recipient opt out of future invitations.

A referral qualifies for a reward only when the referred company:

1. requests a demo through your referral link or invitation within 90 days of first following the link or receiving the invitation;
2. signs a paid Vendoors subscription;
3. pays its first invoice in full; and
4. remains an active, paying client for 3 consecutive months after that payment.

The reward is a flat $500 USD per qualifying referred company. Only one reward is paid per referred company, regardless of how many people from that company submit demo requests or how many referrers reach it. The reward amount may change; the amount shown in your portal when the referred company requests its demo applies to that referral.

• The first valid referral for a company wins. Later links or invitations do not replace it.
• A referral is attributed for 90 days from the first link click or invitation.
• A company is identified by the email domain used in its demo request. Free-mail addresses (for example Gmail or Outlook) do not identify a company.
• Winnovate's records determine attribution, and our decision is final.

A referral does not qualify if:

• the company is an existing Vendoors client, or has requested a demo or been in discussions with us within the previous 6 months;
• it is a self-referral, including referring your own company, an affiliate, or a colleague at your company;
• it was obtained through spam, misleading or false claims, bidding on Vendoors brand terms in paid advertising, or fake or duplicate accounts.

Rewards are paid by bank transfer, Interac e-Transfer or PayPal within 30 days after the referred company's 3-month qualifying period ends. We will contact you at your account email to collect payout details. Rewards are not transferable and have no cash value before they are paid.

You are responsible for any taxes or reporting obligations that apply to rewards you receive.

To protect recipients, the number of invitations you can send is limited per minute and per day, and the same person cannot be invited again for a period after an invitation. Anyone can opt out of invitations using the link in the email, after which no further invitations will be sent to that address. We may change these limits at any time.

We may withhold or reverse rewards, disqualify participants and disable referral links where we reasonably suspect fraud, abuse, or a breach of these terms or applicable law, including anti-spam legislation.

We may change or end the Program at any time. Referrals that had already qualified under the terms in effect at the time they were made will still be honoured.

We store your referral code, the email addresses you invite, and the details submitted in resulting demo requests so we can operate the Program and verify rewards. We also record whether each invitation email was opened and whether its link was clicked, to measure how the Program performs. See our Privacy Policy.

These terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law provisions. Any legal proceedings arising under them shall be brought in the courts located in Ontario.
